GENERAL TERMS AND CONDITIONS OF PURCHASE

This document contains the terms and conditions that regulate the purchase of this company’s products and the relations between the users who buy articles on the website and the company UNSQUARE, S.L.

These terms and conditions are accepted and therefore fully binding on customers when they place an order with this company. It is therefore important for you to read them carefully before placing an order.

By placing an order, you accept these general terms and conditions.

By placing an order through our website, you confirm to us that you are over the minimum legal age and that you have the legal capacity to enter into binding contracts. You also assume responsibility for the data you provide being correct and state that no fraudulent or illegal use is being made of said data, and no purchase is being made for illegal purposes.

Product availability

All product orders are subject to availability. If the chosen article is not available, the circumstance will be indicated when it is selected in the shopping basket, or, failing this, we will inform you immediately by e-mail and provide you with information about similar products of the same or higher quality that are available for order. If you do not wish to place an order for said substitute products, we will immediately (or depending on the payment processor’s timeframe) refund the same amount as that which you have paid.

Shipment

The order will be prepared and shipped within a maximum of 3 (three) working days after receipt of payment for the order, i.e. after conclusion of the contract.

If, due to lack of stock or force majeure, the delivery date cannot be met, we will inform you of said circumstance and give you the option of continuing with the purchase by setting a new delivery date or cancelling the order with a full refund of any amount paid.

Under no circumstances will deliveries be made to post office boxes. For shipments, the following terms and conditions will apply:

• Shipping costs vary depending on the country of destination. To find out the exact costs, you will need to go to the order summary screen. During certain promotional periods, shipping costs may be free.
• Delivery from Monday to Friday on working days.

Returns

If for any reason you are not satisfied with your purchase, you have a period of 14 calendar days from the date of delivery to return it.

Return procedures:

• Option 1) If you are not a registered user, to make the return you must create
  an account from the registration form using the same email address you used to place your order. Request the refund by logging into “MY ACCOUNT”. Select “Returns” and then fill in the form and send it to us.
• Option 2) Send an email to info@suajibrand.com stating that you have cancelled the purchase and that you have returned the items according to the return instructions on the website.
• 3. The item(s) being returned must be unused and in their original condition, i.e. with no creases, scratches or stains on the leather or soles and in their original packaging, including guarantees, labels, all accessories included in the shipment and recommendations for use. Payments will not be refunded for any items that are not in the same condition in which you received them. If the products are damaged for any reason attributable to the customer, we will decline the return.
• 4. Once we receive the goods in our warehouses and check that all the above terms and conditions have been met, the company will accept the return of the items and will proceed to refund the amounts paid on the same credit card or payment system with which the purchase was made. The amount paid will be refunded within a maximum period of 20 calendar days from when the logistics centre notifies receipt of the returned items and confirms that they are in perfect condition. Please note that it may be the case that your bank does not show the refund in your balance until the following month. The refund will be made for the full amount paid by the consumer, including shipping costs for Spain and Europe. In the case of USA, UK and Switzerland, the refund will be for the total amount paid minus a €25 fixed return fee.

Transfer of risk and ownership

The risks of the Products will be your responsibility from the time of delivery. You acquire ownership of the products when, after receiving full payment of all amounts due in respect of the products, including delivery charges, the products are delivered to the address indicated in the order.

When the order has been delivered to the address indicated, the company will have no further responsibility for the delivery.

Payment

The chosen payment method will be debited with the corresponding payment amount when you place your order.

Payment via virtual POS is totally secure. The entire transaction is encrypted through a bank validation server using SSL encryption protocol (encryption technology whose acronym comes from the name “Secure Socket Layer”).

Prices

The sale prices of the products offered in the Online Store are given in euros. They include VAT or any other tax applicable when the order is placed, and exclude shipping costs, which will be added to the total amount due and will be communicated to you before the purchase is formalised.

Prices may change at any time, but any changes will not affect contracts already concluded, i.e. orders already placed.

Liability and exemption from liability

Our liability in relation to any Product purchased on our website is limited to the purchase price of the Product in question, except in the following cases:

1. In case of personal injury caused by intent or gross negligence.
2. 2. In case of fraud or misrepresentation on the part of the company.

The company will not be liable for damage or loss resulting from incorrect or abnormal use of the purchased products or from breach of contract by the customer.

The products purchased through the Online Store are covered by the legal guarantee in accordance with the General Law for the Defence of Consumers and Users applicable at the time, where there is no commercial guarantee other than the one required by law.

Notifications to the company must be sent by e-mail or letter addressed to the company’s registered office.

Assignment of rights and obligations

We may transfer, assign, encumber, subcontract or otherwise transfer a Contract or any of our contractual rights or obligations at any time during the term of the Contract. For the sake of clarity, such transfers, assignments, encumbrances or other transfers will not affect your rights as a customer, nor will they affect any express or implied warranties we may have given to you.

The resale of UNSQUARE products is expressly prohibited unless there is a Distribution Agreement between the Customer and the company.

Force Majeure

We decline all liability for any failure or delay in the performance of any of our obligations under a Contract as a result of Force Majeure affecting the Company.

Our obligation to perform under any Contract will be deemed suspended for the period during which the Force Majeure situation continues, and we will have an extension of the period set to perform our obligation equal to the duration of such period.

Miscellaneous

Should any of these terms and conditions or clauses be held to be invalid, illegal or unenforceable to any extent by the competent authority, the remaining terms and conditions and provisions will remain valid and binding between the parties.

The Company has the right to revise and amend these Terms and Conditions at any time, and the Customer will be bound by the Terms and Conditions as published when the order is placed.

Applicable law and jurisdiction

Contracts for the purchase of products through our site will be governed by Spanish law.

Any dispute arising between the parties will be submitted:

1. to the Courts and Tribunals of the city of Elche when the user is a business; or
2. to the Courts and Tribunals of the city where the obligation is to be performed when the user is a consumer, in accordance with applicable laws.
